Where is the threshold beyond which it pays to switch to a limited liability company (s.r.o.), and what does it mean for your tax and social contributions as well as your personal assets?
Liability and risk
A sole trader (OSVČ) is liable with all their personal assets, whereas a shareholder in an s.r.o. (Czech limited liability company) is liable only up to the amount of their unpaid registered capital contribution. For business activities with higher liabilities or large-scale contracts, this is the primary argument for changing your legal form.
Contributions and profit extraction
With an s.r.o., you can combine an executive director's salary (jednatelská odměna) and dividend profit shares (podíl na zisku). A well-optimised ratio between these two components can save a significant amount each year at higher profit levels.
Cost of administration
An s.r.o. is legally required to maintain double-entry bookkeeping (podvojné účetnictví), prepare annual financial statements, and publish them in the Collection of Deeds. These additional costs only pay off above a certain profit threshold—we calculate this break-even point individually for each client.
